Citius Transnet Investment Trust has submitted its Draft Red Herring Prospectus (DRHP) to the Securities and Exchange Board of India (SEBI) for an initial public offering valued at ₹1,340 crore. The IPO units, as outlined in the DRHP, amount to up to ₹1,340 crore, with as much as 25% of the issue reserved for strategic investors. Axis Capital, Ambit, and ICICI Securities are serving as the book-running lead managers. The units are proposed to be listed on both the BSE and NSE.

Planned Utilisation of Proceeds

According to the DRHP, ₹1,235 crore from the fresh issue will be used for the partial or complete acquisition of securities in SRPL and other designated project-specific special purpose vehicles (SPVs), including TEL, JSEL, Dhola, and Dibang. A portion of the funds will also be utilised for general corporate purposes.

Citius Transnet Investment Trust is an infrastructure investment trust (InvIT) that concentrates on the transport sector. Its mandate includes acquiring, managing, and investing in road and transport infrastructure assets across India. The Trust is sponsored by Epic TransNet Infrastructure, a wholly owned entity of schemes under the Infrastructure Yield Trust, an alternative investment fund managed by EAAA India Alternatives Limited (EAAA).

The Trust’s portfolio consists of 3,406.71 lane kilometres of assets, including seven toll road projects covering 3,043.22 lane kilometres and three annuity-based assets totalling 363.49 lane kilometres. These projects span nine states. For FY25, the Trust reported operating revenue of ₹1,987 crore and a net loss of ₹417.7 crore.
