Adani Enterprises’ ₹24,930 crore rights issue has achieved approximately 90% subscription a day before its scheduled closing. As of 4:50 p.m., applications were received for 124.5 million shares against the total offering of 138.5 million shares. The rights shares are priced at ₹1,800 each.
Payment Structure for Investors
The company is issuing partly paid-up shares. Applicants are required to pay ₹900 at the time of subscription, with subsequent calls of ₹450 each due in January and March 2026. The structure divides the total payment across three instalments.
Planned Use of Proceeds and Debt Position
A large portion of the capital raised is intended for repayment or prepayment of loans. As of September 2025, the company’s total debt stood at ₹1.1 trillion, compared to ₹80,400 crore a year earlier.
Share Price and Key Investors
Adani Enterprises’ shares last closed at ₹2,250, reflecting an increase of 1.5%. Major public shareholders include LIC, GQG Partners and Green Enterprises. Approximately 75% of the total rights issue amount is expected to be contributed by the promoter group, which holds a 73.97% stake in the company.
Financial Performance
For the first half of FY26, the company reported net sales of ₹43,210 crore and a net profit of ₹4,292 crore, representing a 21% rise compared to the corresponding period of the previous year.
Previous FPO Withdrawal
In 2023, Adani Enterprises withdrew its fully subscribed ₹20,000 crore follow-on public offering after a decline in its share price following allegations made by US-based short-seller Hindenburg Research. The company decided not to proceed with the FPO due to market volatility at the time.
