According to the company’s filing, £2 million of the total amount will be invested directly by LT Foods Limited, while the remaining £3 million will be contributed by LT Foods Americas Inc., a wholly owned subsidiary of the company. The funds will be utilised to strengthen the financial position of the UK subsidiary and support its business expansion plans.

LT Foods U.K. Limited was incorporated on July 17, 2023, under LT Foods Europe Holding Limited, with LT Foods Limited (India) as the ultimate holding company. The subsidiary operates in the speciality rice and rice-based food manufacturing and distribution segment.
The production facility commenced operations in July 2024, and the company reported a turnover of approximately £22 million in FY 2024–25. As of March 31, 2025, its net worth stood at £5.4 million.
Transaction Details
The proposed equity infusion qualifies as a related-party transaction, given LT Foods U.K. Limited’s status as a step-down subsidiary. However, the company stated that the transaction will be conducted on an arm’s length basis and completed through cash consideration by December 2025. The final acquisition cost will be determined upon execution.
