Board Approves Two Key Strategic Moves

GR Infraprojects Limited has announced a twin set of board approvals on September 26, 2025. The infrastructure major will acquire 100% equity in Rajgarh Neemuch Power Transmission Limited while simultaneously divesting its stake in GR Bahadurganj Araria Highway Private Limited. Both moves are designed to sharpen the company’s focus on growth in power transmission while optimising its portfolio in the highways segment.

Acquisition of Rajgarh Neemuch Power Transmission

The company will acquire Rajgarh Neemuch Power Transmission Limited, a wholly owned arm of REC Power Development and Consultancy Limited. Incorporated in June 2025 with an authorised and paid-up capital of ₹5 lakh (50,000 shares of ₹10 each), the entity has not yet recorded any turnover or profits for FY25.

GR Infraprojects emerged as the lowest bidder for transmission projects in Madhya Pradesh, covering Rajgarh (1,500 MW) and Neemuch (1,000 MW) renewable energy zones. The transaction, structured as a cash deal, is expected to be completed by October 31, 2025. Importantly, it does not qualify as a related-party transaction.

Exit from Highway Subsidiary

In another significant move, the board has approved the divestment of GR Bahadurganj Araria Highway Private Limited to Indus Infra Trust (formerly Bharat Highways InvIT). The sale will include a 100% equity stake and assignment of unsecured loans.

As of March 31, 2025, the subsidiary contributed ₹23,848.15 lakh (3.14%) to consolidated income and ₹3,840.69 lakh (0.45%) to consolidated net worth. The deal, expected to close by November 30, 2025, is subject to due diligence, necessary approvals, and execution of definitive agreements. Being conducted at arm’s length, the transaction qualifies as a related-party deal due to Indus Infra Trust’s classification.
