The scheme, approved by the National Company Law Tribunal (NCLT), Mumbai Bench, became effective on November 1, 2025, following its filing with the Registrar of Companies.

Companies Involved in the Amalgamation

The restructuring involves the merger of the following entities:

  • Allcargo Logistics Limited
  • Allcargo Supply Chain Private Limited (ASCPL)
  • Gati Express & Supply Chain Private Limited (GESCPL)
  • Allcargo Gati Limited (AGL)
  • Allcargo Global Limited

Effective Date and Structural Changes

Under the approved scheme:

  • ASCPL and GESCPL have been merged into Allcargo Gati Limited.
  • Subsequently, Allcargo Gati Limited has been merged into Allcargo Logistics Limited.
  • Following this process, ASCPL, GESCPL, and AGL have ceased to exist as separate legal entities.

Record Date and Share Allotment

The company has fixed November 12, 2025, as the record date to determine shareholder eligibility for share allotments under the merger scheme.
