Adani Energy Solutions Limited (AESL) has announced the incorporation of a new wholly-owned subsidiary, Adani Energy Solutions Step-Fourteen Limited, as part of its strategy to expand operations in India’s power sector.

Subsidiary Details

The newly incorporated company has an authorised and paid-up share capital of ₹1 lakh, with AESL holding 100% ownership. The subsidiary will focus on power transmission, distribution, and supply services, alongside related infrastructure solutions.

Strategic Objective

The move aligns with AESL’s broader goal of strengthening India’s energy infrastructure and meeting rising electricity demand. By expanding operational capacity, the company aims to consolidate its leadership position in the utilities sector while supporting sustainable power solutions.

AEML Debt Buyback

Separately, Adani Electricity Mumbai Ltd (AEML), another AESL subsidiary, has repurchased and cancelled USD 44.66 million of its USD 300 million senior secured notes due 2031. The buyback, financed through internal cash flows, reduces the outstanding principal to USD 255.34 million.

This is part of AEML’s ongoing capital management strategy, following earlier debt reduction moves, including a USD 120 million tender offer in November 2023 and a USD 49.5 million open market repurchase in June 2025 under its USD 1 billion notes due 2030.
